Laws of the Chinese Association for Aerosol Research


Article ¢¹ Name, Objective

Section 1. Established according to the related law, the Association shall be a nonprofit social incorporation.

Section 2. The name of the Association shall be "Chinese Association for Aerosol Research" (CAAR). Hereinafter designated as the Association.

Section 3. The so-called "aerosol" denotes a suspension of particles in a gas. The purpose of the Association is to facilitate the exchange of information between members from home and abroad; to promote basic and applied research in aerosol science in this country; and to help environmental protection, and public health.

Section 4. The Association extends its organizational area throughout the whole administrative region of the nation. The official address of the organization is situated in an area under the jurisdiction of the government. The office of the Association shall be approved by the government.

Section 5. The mission of the Association:

5.1 To promote the basic and applied research in aerosol technology.

5.2 To hold seminars related to aerosol technology.

5.3 To educate and train aerosol scientists.

5.4 To promote international cooperation and exchange of information in aerosol technology.

5.5 To publish scientific and technical publications in aerosol technology.

5.6 To help environmental engineering construction and public health.

5.7 To advance technology in material synthesis.

5.8 To enhance other technological development related to aerosol technology.


Article ¢º Membership

Section 6. There shall be five categories of membership of the Association: 1. full membership, 2. organizational membership, 3. primary membership, 4. sponsor membership, 5. honorary membership. A list of members mentioned above shall be submitted to the government authority for inspection.

Section 7. Qualifications for each category of membership:

7.1 Full membership: Those of college and university graduates or those who have passed advanced civil service examination, having worked for more than two years, and those of high school or vocational high school graduates having worked for more than seven years, whose works are related to the purpose of the Association, and who are willing to abide by the purpose and obligation of the Association, on the recommendation by two full members, and approved by the Board of Directors, shall be eligible for the full membership in the Association.

7.2. Organizational membership: Institutions and organizations relating to aerosol research, and subscribing to the goals of the Association, approved by the Board of Directors, shall be eligible for the organizational membership in the Association.

7.3 Primary membership: College and university students majoring in environmental protection and related areas, or college and university graduates in the aforementioned areas, having worked for less than two years, or high school or vocational high school graduates having worked for less than seven years, whose works are related to the purpose of the Association, and who are willing to abide by the purpose and obligation of the Association, on the recommendation of two full members, and approved by the Board of Directors, shall be eligible for the primary membership in the Association.

7.4 Sponsor membership: Individuals, institutions and organizations who subscribe to the purpose of the Association and sponsor activities of the Association, when approved by the Board of Directors, shall be eligible for the sponsor membership in the Association.

7.5 Honorary membership: Those who subscribe to the purpose of the Association and have made contribution in the basic or applied aerosol research, through the approval of the Board of Directors, shall be eligible for the honorary membership in the Association.

Section 8. Those of primary membership, engaging in aerosol research, or working on environmental protection, after having fulfilled requirements described under Section 7 (item 7.1), on the recommendation of two full members, and approved by the Board of Directors, shall be promoted to full membership.

Section 9. Any member or its representative who offend the regulation of the Association, or disobey the resolution of its general meeting, may be warned, or some of its rights may be suspended, through the resolution of the Board of Directors. Those who violate rules seriously, may be expelled from the Association through the resolution of the General Assembly.

The following list outlines conditions under which a member is considered to be withdrawn from the Association

9.1. One who has lost his membership.

9.2. One who has been expelled from the Association through the resolution of the Association's General Assembly.

A member may place a written application to explain his reason for withdrawing from the Association. The application should be presented three months before withdrawal, and should be effective at the end of the fiscal year. No dues or fees shall be refunded for any member who has withdrawn or been expelled from the Association.

Section 10. Obligations of the members to the Association:

10.1 Observing regulations and resolutions of the Association.

10.2 Assuming duties or carrying out missions appointed by the Association.

10.3 Paying membership dues annually.

10.4 Assisting the development of the Association's business.

Section 11. Full membership entitles a member the rights to elect and to be elected, to vote for a resolution, and to recall a person from a certain position. Primary membership entitles a member the rights to vote, to elect and to recall, but without the right to be elected. Sponsorship membership and Honorary membership entitles a member none of the rights stated herein.

Section 12. Those who has anything to do with conditions listed below, shall not be eligible for membership in the Association:

12.1 Being declared guilty by the criminal court or being a criminal wanted by the law.

12.2 Being declared as a law offender, or being one who is serving his term in prison.

12.3 Being deprived of civil rights and not yet restored.

12.4 Being declared incompetent to manage his own property, and the declaration has not yet been abolished.


Article ¢» Organization

Section 13. The General Assembly(GA) shall hold the ultimate power of the Association. The Board of Directors shall, on behalf of the GA, exercise its power as it is not in session. The Board of Supervisors shall be the Supervising organization. The duties of the General Assembly shall be listed as follows:

13.1 To draw up and revise the Association's regulations.

13.2 To elect and recall current Directors and Supervisors.

13.3 To vote for fixing the amount and the method for collecting admission fee, annual fee, special funds for the Association's business and voluntary contributions.

13.4 To decide the annual work plan, work report, annual budget and its final report.

13.5. To withdraw a member's membership.

13.6 To make decision on the disposal of the property of the Association.

13.7 To make decision on the dissolution of the Association.

13.8 To make other important decisions concerning rights and obligations of all members.

Section 14. There shall be fifteen Directors and five Supervisors who shall be elected by members (their representatives) of the Association to organize the Board of Directors and Board of Supervisors respectively. Election can be held through mailing ballot, when it is necessary, but should not be held successively. Rules for election shall be made by the Board of Directors, and should be submitted to the authority for approval. When electing for the Directors and Supervisors mentioned above, candidates should be elected for possible vacancy at the same time. Five substitutes for Directors, and one for Supervisor.

Directors and Supervisors and their substitutes are elected according to the number of ballots they gained. In case of ties, it shall be decided by lots.

Rules for nominating candidates for Directors and Supervisors for the next term might be made by the current Board of Directors.

Section 15. Duties of the Board of Directors shall be as follows:

15.1 To decide matters to be discussed in the General Assembly.

15.2 To examine qualifications of each member (its representative).

15.3 To elect and recall the standing member of the Board or Directors, vice president and president.

15.4 To make decision on the resignation of the member and standing member of the Board of Directors, vice president and president.

15.5 To employ and dismiss employees of the Association.

15.6 To draft annual work program and work report, to make the annual budget and its final report.

15.7 Other affairs that should be functioned by the Association.

Section 16. There shall be five standing members in the Board of Directors. Standing members shall be elected by all the members of the Board. One of the standing member shall be the president, two shall be the vice presidents, they shall be elected by all the members of the Board. The president shall take the position to direct and supervise the general affairs of the Association and to represent the Association. He (she) shall also preside over meetings of the General Assembly and the Board of Directors when they are in session.

The president shall work in the office if it is necessary. One of the vice presidents shall be appointed to take his position when the president can not perform his (her) duty on account of any reason. In case the appointment can not be made, one standing member of the Board of Directors shall act as the president, through mutual election among the standing member of directors.

In case vacancy or vacancies created for the president, vice president, or standing Board member of Directors, the vacancy or vacancies should be filled up within a month.

Section 17. Duties of Supervisors shall be as follows:

17.1 To supervise the performance of the Board of Directors.

17.2 To oversee the safekeeping and use of the fund of the Association.

17.3 To examine the Association's annual financial report.

17.4 To elect and recall the standing member of the supervisor.

17.5 To vote on decision for the resignation of a supervisor or the standing member of supervisor.

17.6 To investigate and handle matters concerning discipline of the Association.

17.7 Other matters that should be under supervision according to laws, regulations, or resolutions of the General Assembly.

Section 18. There shall be one standing member of supervisor who supervise the daily business of the Association, and to call for meeting of the Board of Supervisors. The standing member of supervisor shall be produced through mutual election among all supervisors.

In case the standing member of supervisor can not perform his duty on account of any reason, one supervisor shall be appointed to take his position. If the appointment can not be made, one supervisor shall take his place through mutual election among all the supervisors.

In case vacancy is created by the standing member of supervisor, the vacancy should be filled up within a month.

Section 19. Directors and supervisors are honorary two-year posts without pay. One may hold the post for the succeeding term, after being re-elected. The president, however, can be re-elected only once.

The duty of the directors and supervisors starts from the first day of the first meeting of the current Board of Directors.

Section 20. According to the decision of the Board of Directors, the Association may have one Honorary President, several Honorary Directors and Advisors. Their term of service shall be the same as current directors and supervisors.

Section 21. Directors and supervisors who have anything to do with items listed below shall be dismissed from their duties:

21.1 Having lost their full membership.

21.2 Having resigned from their post for any reason, and being approved by the Board of Directors or Supervisors.

21.3 Being dismissed from their duties by the decision of the General Assembly because of : neglecting their duties, or violating laws and regulations, or having behaved seriously beyond bounds.

21.4 Being absent twice from the meeting without any reason shall be taken as resigned voluntarily.

Section 22. There shall be one Secretary-General who takes care of the general affairs of the Association, under the direction of the president, and who shall be in the office for two years. There shall also be several other staff. Through the nomination of the president, these staff shall be appointed and dismissed by the decision of the Board of Directors. These appointments and dismisses of the Secretary General and other staff shall be reported to the authority agency for examination.

The dismiss of the Secretary-General, however, should be reported in advance for necessary investigation.

Elected members shall not be allowed to take positions of staff mentioned above.

Section 23. A Finance Committee shall be established to take charge of the Association's financial affairs such as fund raising and management. The chairman of the committee shall be elected and appointed by the Board of Directors. Several other members of the committee shall be nominated by the head of the committee, and be appointed by the president. The term of service for all the members of the Finance committee shall be two years, including the chairman.

Section 24. Other committees or work groups shall also be established to deal with related matters as it is in need.

Section 25. The transition of duties for each department of the Association shall be finished within a month, after the conclusion of the election.


Article ¢¼ Meeting

Section 26. There shall be two categories of General Assembly: regular (ordinary) meeting and irregular (extraordinary) meeting. Either shall be convened by the president of the Association. Notification of the meetings shall be made through a written letter and shall be sent to each member 15 days prior the meeting.

Regular meetings for the General Assembly shall be held annually. Extraordinary meetings shall be convened as the Board of Directors deems it is necessary, or one-fifth (1/5) of the members apply for it, or the Board of Supervisors submit a letter of request asking for it.

When a member (representative) is unable to present in person in the General Assembly, a proxy may be entrusted through a written letter. The proxy must be a member (representative) of the Association. And each member shall be limited as a proxy for one other member.

Section 27. Ordinary resolutions of the General Assembly shall be made by the majority of the members presenting in person or by proxy, and the number of the present members must be more than half (1/2) of the total members of the Association. Important decisions concerning events listed below, however, shall be approved by two-thirds (2/3) of the members who are present:

27.1 Drafting and revising of the Association's regulations.

27.2 Withdrawal of a member's membership.

27.3 To recall a director or supervisor.

27.4 The disposal of the Association's property.

27.5 The dissolution of the Association.

27.6 Other important events concerning the rights and obligations of members.

Section 28. Board of Directors and Board of Supervisors meet every six months respectively. Joint or extraordinary meetings of directors and supervisors shall be held when it is necessary. Written notice for each meeting, except extraordinary ones, shall be made seven days ahead.

Decisions of the said meetings shall be made by the majority of the members who are present, and the number of directors and / or supervisors who are present must be more than half of total members in the Board. Directors and supervisors attending their Board meeting should be present in person. Proxy shall not be accepted. Being absent twice from these meetings, without reason, shall be taken as resigned voluntarily.

Secretary General, members of the committees and their staff shall all attend the meetings of Board of Directors and Supervisors to present their work reports.

Section 29. Resolutions of the meetings of Directors and Supervisors shall be made by more than half of the members who are present in the meetings, and members who attend the meeting must be more than half of the total members of each Board.


Article ¢½ Finances

Section 30. Expenditure of the Association shall come from the following listed sources:

30.1 Membership fee (admission):

(1) Full membership: NT$300

(2) Organizational membership: NT$5,000

(3) Primary membership: NT$200

30.2 Membership fee: (annual)

(1) Full membership: NT$300

(2) Organizational membership: NT$10,000

(3) Primary membership: NT$200

30.3 Membership fee (permanent membership):

(1) Full membership: NT$3,000

(2) Organizational membership: NT$100,000

30.4 Business fee.

30.5 Member donations.

30.6 Entrusted benefits.

30.7 Reserve fund and its interest.

30.8 Other income.

Section 31. Members without paying membership fee for two successive years, shall be taken as withdrawing from the Association voluntarily.

Section 32. Fiscal year of the Association shall be the same as the calendar year (January 1 ¡V December 31).

Section 33. Budget-making of the Association shall be done within two months prior to the end of the year. Through the examination of the Board of Directors, the budget report shall be presented in the General Assembly for approval, and then submitted to the authority agency for investigation. In case the General Assembly can not be convened in time on account of some reason, the budget report shall be submitted to the authority agency after the decision of the Boards of Directors and Supervisors, then seek for the General Assembly's approval afterward. The procedure for the making of the final financial statement or report shall be the same as the budget-making. But the final financial statement should be examined by the Board of Supervisors in advance, and the result of the said examination should also be presented together with the final financial statement to the General Assembly.

Article ¢¾ Amendments

Section 34. Things not stipulated in the clauses herein shall be settled according to regulations specified by the related agencies.

Section 35. After dissolution, the ownership of the residual properties of the Association shall be turned over to the local autonomous groups or organizations appointed by the authority agency.

Section 36. Related by-laws concerning the performance of the business affairs of the Association shall be made as it is in need.

Section 37. After resolutions being made on the Regulations of the Association by the General Assembly, it shall be submitted to the Ministry of Interior for approval and necessary investigation. The same procedure shall be followed for any of its revision.
